Result of placing of ordinary shares in ConvaTec Group Plc

Further to the announcement released on 5 June 2017 regarding a proposed placing of shares in ConvaTec Group Plc ("ConvaTec") to institutional investors by way of an accelerated bookbuilding process (the "Placing"), Nordic Capital and Avista (each as defined below) announce that they have elected to increase the size of the Placing due to strong investor demand.

Through the Placing, Nordic Capital and Avista have sold an aggregate of 250 million ordinary shares in ConvaTec at a price of 322 pence per ordinary share, raising gross proceeds of £805 million.

Following the completion of the Placing, Nordic Capital will own 143,158,828 shares in ConvaTec, representing approximately 7.34% of the issued share capital, and Avista will own 58,244,619 shares representing approximately 2.98%.

In connection with the Placing, Nordic Capital and Avista have agreed not to sell or distribute any ordinary shares in ConvaTec which are not sold in the Placing for a period of 90 days after completion of the Placing (subject to waiver by the Joint Bookrunners and certain customary exceptions, including any enforcement by the lenders under the terms of existing margin loans entered into by Nordic Capital and Avista). The Avista lock-up is subject to a carve out for a process of distribution in kind (or sale and distribution) of its residual holding from 29 June 2017, the date on which its lock-up from the previous placing, which completed on 31 March 2017, expires.

The proceeds of the Placing are payable in cash on usual settlement terms on Thursday 8 June 2017. ConvaTec will not receive any proceeds from the Placing.
